Welcome to Vendora. By accessing or using our marketplace platform, storefront services, or any of our features, you agree to be bound by the following Terms of Service. Please read them carefully. If you do not agree to all of these terms, you are not authorized to use the platform.

1. Acceptance of Terms

In plain terms: Using Vendora — to browse, buy, or sell — means you agree to follow these rules.

These Terms govern your access to and use of the Vendora website, PWA application, APIs, and communication tools. Your consent is active upon your first access or account registration. We reserve the right to update these terms at any time, and your continued use of the platform constitutes acceptance of any revised terms.

2. Eligibility & Account Security

In plain terms: Anyone can join, but you must be at least 18 (or have a parent's permission), use accurate registration information, and keep your login credentials secure.

Vendora is a public marketplace open to all users. To use the platform, you must:

Be at least 18 years of age, or have the express consent and supervision of a parent or legal guardian.
Provide true, accurate, and complete information when registering and keep it updated promptly if anything changes.
Maintain the confidentiality of your account password and verification tokens. All activity performed through your account is your responsibility.
Register only one personal account on the platform.

3. Vendor Listing & Storefront Terms

In plain terms: To sell on Vendora, you must apply and be approved by our team. Once live, you are responsible for keeping product details, stock counts, and pricing accurate and up to date.

Users wishing to act as sellers must submit a complete merchant application. Approved merchants agree to:

Acknowledge that Vendora administrators review all applications and reserve the right to approve or reject them without providing a reason.
Take full responsibility for the accuracy of product descriptions, pricing, stock availability, and all uploaded imagery.
Grant Vendora a non-exclusive, royalty-free, worldwide license to display and distribute their listed content on the platform.
Accept that they are independent merchants and not employees, agents, or partners of Vendora.

4. Buyer Rules & Transaction Disclaimer

In plain terms: Vendora connects buyers and sellers but does not process payments or handle deliveries. All purchases are arranged directly between you and the seller. For your safety, always meet in a safe, public location and inspect items before paying.

Vendora is a directory and connection platform. Please note:

Direct Exchanges: All purchases, payments, shipping, and handover arrangements are made directly between the buyer and seller. Vendora does not act as a payment processor or hold any funds.
No Escrow or Guarantee: Vendora is not a party to any transactional agreement, and is not liable for product warranties, return requests, or quality disputes.
Safety Recommendations: Always coordinate item handovers in public, well-lit, and secure locations. Inspect products thoroughly before releasing payment.

Important: Vendora is not an escrow or payment service. All payments and item inspections are handled directly between buyers and sellers. We take scam reports seriously and will suspend fraudulent accounts, but we cannot recover lost funds.

5. Prohibited Products & Services

In plain terms: You may not list illegal items, stolen goods, weapons, dangerous chemicals, counterfeit brands, or any product that is restricted by law.

You may not offer, sell, or advertise any of the following:

Illegal substances, prescription drugs, or controlled chemicals.
Counterfeit items, replica designer products, or stolen property.
Weapons, firearms, ammunition, or explosives of any kind.
Alcohol, tobacco, or age-restricted goods sold to minors.
Listings that promote scams, pyramid schemes, or multi-level marketing fraud.
Anything illegal under applicable local, national, or international law.

6. Platform Misuse & Security

In plain terms: Do not hack our website, scrape our listings, run listing bots, or upload harmful code. Any such behavior will result in immediate account suspension.

You agree not to engage in any of the following:

Using scraping bots, automated scripts, or spider crawlers to copy platform listings or directories.
Uploading executable scripts, malware, or backdoors embedded within image or media uploads.
Attempting unauthorized access to our databases, servers, or other user accounts.
Impersonating Vendora staff, administrators, or other registered users.

7. AI Assistant Integration

In plain terms: Our AI Assistant helps sellers write product descriptions and get tips. AI-generated suggestions are recommendations only — please review them before publishing.

Sellers may access a Cloudflare-powered AI Assistant to optimize listings and shop descriptions. By using this feature, you acknowledge that:

The AI generates text based on user-provided inputs. All AI-generated content must be reviewed by the user before publishing.
Vendora is not liable for incorrect, misleading, or inappropriate content generated by the AI Assistant.

8. Content Moderation & Account Termination

In plain terms: We can block or permanently delete accounts that break our rules, behave fraudulently, or endanger other users.

Vendora administrators reserve the right to edit, suspend, or permanently remove any listing or user account that violates these Terms, engages in suspicious activity, or is reported for bad-faith practices. Where possible, we will notify you of the reason for any action taken. You may also request closure of your account at any time.

9. Limitation of Liability & Warranties

In plain terms: Vendora is provided "as is." We are not responsible for business losses, item defects, physical harm during meetups, or any other indirect damages.

VENDORA IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND. IN NO EVENT SHALL VENDORA, ITS DEVELOPERS, OR ADMINISTRATORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, FINANCIAL LOSSES, OR DISPUTES ARISING FROM YOUR USE OF THE PLATFORM OR DURING PEER-TO-PEER TRANSACTIONS.

10. Intellectual Property

In plain terms: You own the content you post, but you give Vendora permission to display it on the platform.

You retain ownership of the content (text, images, descriptions) you post on Vendora. By posting, you grant Vendora a non-exclusive, royalty-free, worldwide license to display and distribute your content for the purpose of operating the marketplace. Vendora's platform code, design, and branding remain the exclusive intellectual property of its developers.

11. Governing Law

In plain terms: Any disputes will be governed under the laws of Ghana.

These Terms of Service and any transaction disputes are governed by and construed in accordance with the laws of Ghana, without giving effect to any principles of conflicts of law.

12. Changes to Terms

In plain terms: We may update these terms. If significant changes are made, we will notify you via email or a platform notice.

We may update these Terms at any time. Continued use of the platform after changes are published constitutes your acceptance of the updated Terms. We encourage you to review this page periodically.
